Venture Seed Brother/Sister Policy

Purpose: Ensure fair, transparent, and mutually beneficial collaboration among Venture Seed portfolio companies (Sibling Companies).

Effective: June 1, 2025

1. Pricing & Discounts

Default Rates

Charge standard market rates (same as external clients) for services/products provided to Sibling Companies.

Example: Easy China Warehouse charges Hamza Labs its standard $500/pallet storage rate.

Discounts

Based on mutual value created, not just portfolio membership.

  • 10% Discount: For deals over $1,000 that support the receiving company's core goals.
  • 15% Discount: For recurring/high-volume deals, approved by the providing CEO.
  • 25% Discount: For strategic portfolio-wide projects, approved by both CEOs and Venture Seed's oversight board.

Example: Shadstone runs a campaign for Hamza Labs tied to a CBS pilot, gets 25% off as it boosts portfolio visibility.

Payment Terms: Net 30 days. Late payments incur 1.5% monthly interest unless waived.

2. Approvals

  • Standard Deals: Providing company's CEO approves 10% or 15% discounts.
  • Strategic Deals: Both CEOs and Venture Seed's oversight board approve 25% discounts or barter arrangements.
  • Disputes: Escalate to Venture Seed's oversight board for mediation.

3. Logging Deals

Requirement: Log all intercompany deals over $1,000 in a shared Venture Seed deal tracker.

Fields: Date, Companies Involved, Service/Product, Value, Discount Applied, Strategic Impact (if any).

Example: "2025-06-15, Shadstone & ECW, Market research for Asia expansion, $5,000, 10% discount, Supports ECW growth."

Purpose: Ensures transparency and tracks mutual value creation.

Access: CEOs and oversight board only, updated weekly.

4. Shared Value

Focus: Collaborate on projects that benefit multiple Sibling Companies or the portfolio.

Tracking: Log shared value contributions in the KPI dashboard or deal tracker.

Example: Hamza Labs shares R&D tools with Shadstone for a client demo, logged as a shared value contribution.

5. KPI Transparency

  • Weekly KPIs: CEOs submit KPIs via Google Form to dashboard.ventureseed.com.
  • Access: Private dashboard, viewable by CEOs and oversight board only.
  • Review: Discuss trends and opportunities at quarterly portfolio meetings.
